Advanced Planning for Business Owners

A successful business owner approached BAMG with a familiar challenge: significant enterprise value, limited personal liquidity, and no integrated strategy for succession, estate planning, and taxes.

While the business was thriving, much of the owner’s future wealth remained exposed to risks that are often overlooked until a transaction is already underway.

By collaborating with the owner’s legal and tax professionals, we developed a comprehensive planning framework years before a potential exit. The strategy included a business valuation analysis, restructuring the company’s retirement plan to maximize tax-deferred contributions, and evaluating advanced estate planning techniques designed to transfer future appreciation outside the taxable estate. We also worked with the ownership team to strengthen key business fundamentals that drive valuation, including leadership succession, operational processes, and reducing owner dependence—areas that sophisticated buyers scrutinize closely during due diligence. In addition, we identified an opportunity to gift a portion of the business to charity prior to a liquidity event, allowing the family to fulfill charitable goals while potentially avoiding capital gains taxes on the donated shares and generating a meaningful charitable deduction. These strategies required coordination well before a sale and would have been significantly less effective—or unavailable altogether—after a transaction was completed.

Beyond the technical planning, we helped facilitate important family conversations around both wealth and purpose. As part of the succession process, the owners wanted to ensure that future generations inherited more than financial assets alone. Through intentional discussions with their children, we helped create clarity around the family’s values, stewardship philosophy, charitable priorities, and vision for the business’s future. The result was not simply a succession plan, but a more tax-efficient ownership structure, greater family alignment, and a clearer path toward preserving both wealth and purpose across generations.
